Terms and Conditions

1. Definitions

In these terms and conditions (the “Terms”):

• “We”, “us”, “our” means Limpopo Cash and Carry (Pty) Ltd, a company incorporated in the Republic of South Africa, trading with its principal place of business at 15 Mangaan Street, Polokwane, Limpopo Province, South Africa.

• “You”, “the Customer” means the person, firm or business who purchases the Goods from us.

• “Goods” means any products supplied by us to you.

• “Order” means your order for Goods placed with us.

• “Website” means our website at https://limpopocc.co.za and any related pages.

2. Application

2.1 These Terms apply to all Orders placed by you with us, to the exclusion of any other terms that you seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
2.2 No variation to these Terms shall be binding unless agreed in writing by a director of our company.
2.3 By placing an Order you acknowledge that you have read, understood and agreed to be bound by these Terms.

3. Orders and Acceptance

3.1 All Orders are subject to acceptance by us. We will confirm acceptance of your Order (by email or other written means) at which point a contract shall come into existence.
3.2 We may in our discretion refuse to accept any Order, or cancel it at any time before acceptance without liability.
3.3 If after acceptance we discover an error in the price or description of any Goods, we shall notify you promptly and give you the option of re-confirmation at the correct price or cancellation of the Order.

4. Price and Payment

4.1 The price of Goods shall be that set out in our published website or as confirmed in the acceptance of your Order, unless otherwise agreed in writing.
4.2 All prices are VAT inclusive (when applicable) unless otherwise indicated, and exclude delivery and handling charges unless stated.
4.3 Payment shall be by cash, EFT (electronic funds transfer) into our bank account, credit/debit card or other method agreed with us. Payment must be received (or cleared) before delivery/collection of the Goods unless otherwise agreed in writing.
4.4 If you fail to pay on the due date we reserve the right to cancel the Order or suspend further Orders until payment in full.

5. Delivery and Risk

5.1 Delivery of Goods shall take place when we deliver the Goods to the address you specify, or you collect the Goods from our premises, whichever is applicable.
5.2 Risk in the Goods passes to you at the time of delivery or collection.
5.3 Ownership (title) in the Goods shall not pass to you until we have received payment in full (in cleared funds) for the Goods and for any other goods we have supplied to you. Until title passes you shall hold the Goods as bailee and must store them separately, insure them and clearly mark them as our property.
5.4 We will make reasonable efforts to meet estimated delivery dates, but all delivery dates are approximate only and we will not be liable for late delivery.

6. Returns, Refunds and Faulty Goods

6.1 We shall provide quality goods, fit for purpose and as described, in accordance with applicable law.
6.2 If the Goods are faulty or not as described, you must notify us as soon as reasonably possible and provide full details and any evidence (including photographs). Subject to your rights under law, we may repair or replace the Goods, or refund the purchase price.
6.3 Unless otherwise agreed, we do not accept returns or exchanges for change of mind for any goods including but not limited to perishable goods, hygiene sensitive goods or items made to your specification. If by our discretion we agree to accept return for change of mind you may be liable for a restocking or handling fee.
6.4 Your statutory rights under the Consumer Protection Act remain unaffected.

7. Warranties and Liabilities

7.1 We exclude all warranties, whether express or implied, except those which cannot by law be excluded.
7.2 To the fullest extent permitted by law, our total liability under or in connection with the contract (including for negligence or breach of statutory duty) shall not exceed the invoice value of the Goods supplied under the contract.
7.3 We shall not be liable for any indirect, consequential or special losses (including loss of profit, business interruption or loss of goodwill) howsoever arising.
7.4 Nothing in these Terms shall limit any rights you may have under the Consumer Protection Act or other applicable statutory rights which cannot be excluded or limited.

8. Intellectual Property

All intellectual property rights in our website, catalogue, branding, photography, imagery, documentation and any other material we supply remain our property (or our licensors’). You may not copy, reproduce or use any such material except as permitted by us in writing.

9. Privacy and Data Protection

Your personal data will be collected, used and stored by us in accordance with our Privacy Policy, which you can view here. By placing an Order with us you consent to such processing.

10. Force Majeure

We will not be liable for any failure or delay in performance of our obligations under these Terms caused by events beyond our reasonable control, including but not limited to strikes, lock-outs, industrial disputes, acts of God, war, terrorism, fire, flood, viral outbreak, pandemic, governmental action, shortage of supplies, or power failure.

11. Variation of Terms

We may revise these Terms at any time by publishing an updated version on our Website. The revised Terms will apply to Orders placed from the date of publication. You should therefore review the Terms periodically.

12. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of South Africa. The parties submit to the non-exclusive jurisdiction of the South African courts.

13. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions of these Terms shall remain in full force and effect.
